LocalSquare Terms of Service
Master Constitutional & Liability Agreement
1. The LocalSquare Constitutional Agreement
By accessing or using LocalSquare ("the Platform"), operated by LocalSquare AR LLC, you agree to be bound by these Terms of Service. LocalSquare is a hyper-local digital town square designed for verified neighbors, local merchants, and community organizations. You must be at least 18 years of age to create an account, post listings, or participate in peer-to-peer transactions or community raffles. Any fraudulent misrepresentation of your local residency, identity, or business credentials is grounds for immediate and permanent account termination.
2. Data Ownership & Privacy
You retain full ownership of all text, photographs, and listing content you upload to LocalSquare. By posting content on the Platform, you grant LocalSquare AR LLC a non-exclusive, royalty-free, revocable license strictly to display and distribute your content within your designated local zip code and chosen radius. Consistent with our Privacy & Data Sovereignty Policy, we do not sell user data to third-party brokers, and deleting your content or account permanently purges it from active display and storage.
3. Asset Protection & Anti-Scraping
All user-uploaded media, business showcases, and classified listings are protected by the LocalSquare Vault Shield. Automated scraping, web crawling, data harvesting, spidering, or unauthorized downloading of user photos, contact details, or directory listings—whether for commercial aggregation, AI model training, or competitive poaching—is strictly prohibited. Violators are subject to immediate IP blocks and legal action under applicable computer fraud and copyright statutes.
4. Peer-to-Peer Commerce & Liability
LocalSquare provides a digital venue connecting local buyers and sellers across Private Party feeds, General Marketplace, Wheels & Motors, and Property & Home (FSBO). LocalSquare is not a party to any transaction, does not take title to any listed goods or real estate, does not hold escrow funds, and does not inspect or warrant the condition, legality, title status, or safety of any listed item. All negotiations, inspections, payments, and in-person exchanges are conducted solely at the risk of the buyer and seller.
5. The Labor Exchange & Independent Contractors
Service providers, gig workers, handymen, and licensed tradespeople listed on the Platform operate strictly as independent third parties and are not employees, agents, partners, or subcontractors of LocalSquare AR LLC. While LocalSquare may collect license numbers or business identifiers for directory organization, homeowners and hiring parties are solely responsible for verifying active state licensure, bonding, general liability insurance, permits, and references prior to authorizing any work.
6. "As-Is" Platform & Limitation of Liability
THE PLATFORM AND ALL INFORMATION, LISTINGS, FINANCIAL HUB GUIDES, AND SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCALSQUARE AR LLC, ITS OFFICERS, AND FOUNDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, PROPERTY, OR PERSONAL INJURY ARISING FROM YOUR USE OF THE PLATFORM OR ANY INTERACTION WITH OTHER USERS.
7. Indemnification
You agree to defend, indemnify, and hold harmless LocalSquare AR LLC, its affiliates, members, and personnel from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of and access to the Platform; (b) your violation of any term of these Terms of Service; (c) your violation of any third-party right, including copyright, property, or privacy rights; or (d) any dispute, transaction, or service agreement between you and another user or advertiser.
8. Dispute Resolution & Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, or interpretation thereof shall be resolved by binding individual arbitration in the State of Arkansas, rather than in court, except that you may assert qualifying claims in small claims court. You and LocalSquare AR LLC agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
9. Advertising Transparency
LocalSquare sustains free community access through clearly labeled local business sponsorships, verified dealer showcases, and commercial directory placements. All paid placements are explicitly badged (e.g., "Local Sponsor," "Premier Sponsor," or "Verified Dealers"). Advertisers are solely responsible for the accuracy of their promotional claims, pricing, and inventory feeds, and must comply with all applicable federal and state truth-in-advertising, fair housing, and automotive lending laws.
10. Platform as a Bulletin Board (No Endorsements)
LocalSquare operates strictly as an interactive computer service and neutral community bulletin board under 47 U.S.C. § 230 (Section 230 of the Communications Decency Act). The presence of any listing, contractor profile, financial guide, or sponsor banner on the Platform does not constitute an endorsement, guarantee, financial advice, legal counsel, or warranty by LocalSquare AR LLC. Users are encouraged to exercise standard neighborhood due diligence and utilize community reporting tools to flag suspicious activity.
11. Community Raffles & Sweepstakes
LocalSquare may host community raffles, giveaways, or sweepstakes. No purchase or payment of any kind is necessary to enter or win. A purchase will not increase your chances of winning. Void where prohibited by law. Odds of winning depend on the number of eligible entries received.
